End User Licence Agreement

This agreement is between you and James Hurst, trading as Reel Audio Instruments (“we”, “us”). It covers our products, including their factory presets, documentation and updates (the “software”). By installing or using the software you accept this agreement. If you do not accept it, do not install or use the software.

Purchases are made from our reseller, Moonbase, under its own terms of sale. This agreement covers your use of the software.

1. Licence

A licence for the software is any licence issued by Reel Audio Instruments, including those issued before this agreement. It grants you a non-exclusive right to install and use the software, subject to this agreement:

  • a purchased licence does not expire
  • a trial licence is for evaluating the software, and ends when its trial period does
  • you may activate the software on as many computers as your licence allows, and move an activation from one computer to another

Your licence is personal to you. It cannot be sold, transferred or sublicensed, except where applicable law gives you a right to do so. A licence bought by an organisation belongs to that organisation, and may be used by one person at a time.

2. What you make

Audio you create with the software, including with its factory presets, is yours. You may use it however you like, commercially or not, with no royalties or credit due. Presets you author yourself are also yours.

You may not distribute the factory presets, or presets substantially derived from them, as presets, as part of a sound library or as part of another product.

You may show the software, its interface and its sound in reviews, tutorials and demonstrations.

3. Restrictions

You may not:

  • copy or distribute the software, its installers or its licence files, except for copies you keep as your own backup
  • remove, bypass or interfere with the software’s licence activation or checks
  • modify, decompile, disassemble or reverse engineer the software, except where the law allows this and that right cannot be excluded
  • rent, lease or lend the software
  • remove or change any copyright notice in the software

4. Activation and data

The software contacts our licensing provider, Moonbase, to activate a licence, to start a trial and to check from time to time that a licence is valid. These requests send a name and an identifier for your computer, your operating system, the software’s version, plugin format and processor type, and the host application it is running in. Moonbase also records the IP address each request comes from, and the approximate location it gives. How this data is handled is described in our privacy policy.

The software will not run without a valid licence.

5. Third-party components

The software includes third-party components, each under its own licence, which are listed in the third-party notices supplied with the software. Nothing in this agreement limits your rights under those licences.

6. Updates

We may release updates to the software. An update is covered by the version of this agreement released with it.

7. Ending the licence

Your licence ends automatically if you break this agreement, or if the purchase is refunded or reversed. When it ends you must stop using the software and uninstall it. Audio you made with the software while it was licensed remains yours.

8. Warranty and liability

We make the software with care, but we do not promise that it is free of errors, that it works with every computer, operating system or host application, or that it meets your particular needs. Keep backups of your projects.

As far as the law allows:

  • the software is provided without any warranty, express or implied
  • we are not liable for any loss of data, profit, revenue or business, or for any indirect or consequential loss
  • our total liability to you is limited to the amount you paid for your licence

Nothing in this agreement excludes or limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow to be excluded or limited. If you are a consumer, nothing in this agreement affects your statutory rights.

9. Governing law

This agreement is governed by the law of England and Wales.

If you are a consumer, you also keep the protection of the mandatory laws of the country where you live, and you may bring a claim in the courts there or in the courts of England and Wales. If you use the software for business purposes, the courts of England and Wales have exclusive jurisdiction.

10. General

If any part of this agreement is found to be unenforceable, the rest of it remains in effect.

If we do not enforce a term of this agreement straight away, we may still enforce it later.
